Terms of Service (Pilot Stage)

Novix LLC (dba AdFlex), a Delaware LLC, operates the AdFlex SaaS platform. By accessing or using AdFlex during its pilot phase, you agree to these Terms of Service. You represent that you are at least 18 years old and able to form a binding contract. If you do not agree, do not use the Service.

You must create an account with accurate information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Immediately notify us of any unauthorized use. We may suspend or terminate accounts without notice for violations of these Terms or inactivity.

AdFlex grants you a limited, non-exclusive, revocable license to use the Service solely for your internal purposes. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any part of the Service without our permission. You must use the Service in compliance with all applicable laws (including export controls and sanctions).

We may offer a limited number of credits under our Basic or free-tier plan to allow new users to explore the platform. These trial credits are provided at our discretion and may vary in quantity or availability from time to time. AdFlex reserves the right to adjust the amount, duration, or availability of such credits without prior notice.

You acknowledge and agree that AdFlex is currently in a pilot (beta) phase. From time to time, we may invite you to try Beta Services at no charge. Such Beta Services will be clearly designated as beta, pilot or limited-release and are provided solely for evaluation purposes. Beta Services are not intended for production use and may contain bugs or errors. They may be changed or discontinued at any time without notice. We make no warranties regarding Beta Services and disclaim all liability for any damages arising out of or related to Beta Services. You may be asked to provide feedback on any Beta Services, and you agree to promptly inform us of any issues and cooperate with reasonable requests to test or improve Beta features.

AdFlex offers a freemium subscription model. The free tier provides basic features at no cost. You may upgrade to paid plans for additional features. By purchasing a paid plan, you agree to provide accurate billing information and authorize recurring payments. We disclose all subscription fees, billing cycles, and refund policies in our billing terms. If a payment fails or is disputed, we may suspend or cancel your paid access

Your use of AdFlex is also governed by our Privacy Policy (below). We collect personal information (name, email, profile details), usage data (IP address, cookies, device info), payment data (via third-party processors), and optionally verification data (e.g. visa or passport info if you choose to provide it) to operate and improve the Service. By using AdFlex, you consent to this collection and processing as described in our Privacy Policy.

You agree not to use AdFlex for any unlawful or harmful purpose. Prohibited activities include:

• Violating any law, regulation, or third-party rights
• Interfering with or disrupting the Service (e.g. hacking, DDoS, malware)
• Attempting to gain unauthorized access to any portion of the Service
• Sending spam or unsolicited communications
• Uploading content that infringes others' intellectual property

AdFlex reserves the right to restrict or terminate any activity that could harm the Service or its users.

You retain ownership of any content you upload to AdFlex (e.g. profile data, materials, feedback). However, by posting content you grant Novix LLC (dba AdFlex) a worldwide, royalty-free license to use, reproduce, modify, and display such content as needed to provide and improve the Service. You warrant that you have all rights to grant this license and that your content does not violate any laws or third-party rights.

AdFlex (Novix LLC) owns all rights in the Service, including software, code, and trademarks. You agree not to copy or use our intellectual property except as expressly permitted. All content and code in AdFlex is protected by copyright, trademark, and other laws.

We may suspend or terminate your access at any time, with or without cause or notice, including for violation of these Terms or non-payment. Upon termination, your right to use the Service ceases immediately. We may delete or deactivate your account and any stored content, but have no obligation to retain it.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” Novix LLC (dba AdFlex) makes no warranties, express or implied, about the Service. We do not guarantee the Service will be uninterrupted or error-free, or that it will meet your needs. During the pilot, features may be incomplete or change without notice. To the extent permitted by law, we disclaim all warranties, including any implied warranty of merchantability or fitness for a particular purpose.

To the fullest extent permitted by law, AdFlex and its officers are not liable for any indirect, incidental, special or consequential damages, or any loss of data or profits arising out of or related to your use of the Service. In no event will our total liability exceed the amount paid by you (if any) in the past 12 months for use of the Service. This allocation of risk is reasonable and applies even if we were advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless Novix LLC (dba AdFlex), its affiliates, and their officers and employees, from any claims, losses, liabilities, or expenses (including attorneys' fees) arising from:

• your violation of these Terms
• your misuse of the Service
• your user-generated content

These Terms are governed by Delaware law (Novix LLC’s state of incorporation) without regard to conflict of law principles. Any disputes will be resolved exclusively in the state or federal courts in Delaware, and you consent to personal jurisdiction there. Alternatively, the parties may agree to binding arbitration in Delaware.

We may modify these Terms at any time during the pilot phase. We will post the updated Terms on our website or email them to you. Your continued use of the Service after changes indicates your acceptance of the new Terms.

These Terms, together with the Privacy Policy below, form the entire agreement between you and Novix LLC (dba AdFlex) regarding the Service. If any provision is unenforceable, the remaining provisions will remain in effect.
